Andrew the ground of an attorney here with the Sparrow Law Group in New Orleans Louisiana we're a Louisiana business law firm and we wanted to help you today figure out how to set up your LLC I'm here with Jesse Ventura Ella the marketing director here at Sparrow Law Group hi Jesse how you doing today doing great doing great I appreciate you doing this video helping me out of trying to figure out how to set up this LLC yeah so so Jesse is as a side hustle called Gulf Coast hurricane updates it's a Facebook page Jesse's actually a trained meteorologist and has created this over the past few years and it tracks hurricanes from the hurricane season and tracks weather and other things during the non hurricane season and he's generated quite the following over a hundred thousand folks so that's really impressive a lot of great recommendations a lot of feedback a lot of engagement comments that sort of thing so as as this page has started to turn into a life of its own Jesse's wanted to figure out hey how do I actually start turning this into a business something that can support me and my family and so one of the first steps were taking today to legitimize him is to set up this LLC to take it from this hobby and something that he's shown can there's a demand for it and take it and make it an actual business so today what we're gonna do is set up the LLC for him and what we're doing is first we're gonna start by googling the Louisiana Secretary of State and we'll get to their website here to form this LLC and we'll click Business Services and first we're going to click search and Jesse if you have an idea of what you want an annus LC statewide just keeping it consistent with the page just Gulf Coast hurricane updates LLC probably way to go here so so we'll type that in to see if there's any either there's no exact matches for that so what we're doing now is we're searching to see whether any other businesses out there using this name you can see with Gulf Coast there's a lot of results we're not going to go through all these but we're really just that Gulf Coast hurricane updates there was no there's no hits we'll tie Gulf Coast hurricane we just want to see if we think the Secretary of State will use the name if we tried to call it Gulf Coast hurricanes LLC they might say no you can't use that name it's already in use by a business and Church point but but we searched Gulf Coast hurricane updates and that seems to be available so we're going to do is go back to the Louisiana Secretary of State's main site and click Business Services and start a business and that's gonna log us into from here and then click file original documents and we're gonna log into go-biz and that takes a few steps but eventually you'll you'll log into the go-biz site in the top left you'll see a link that says start filing and I'll bring us to this stream right here and we're gonna do today is we're going to reserve a new business name so we'll click this and the purpose of this is we want the Secretary of State to say hey yes the name that you want to use is available and what that does is that we can go to the IRS and say hey this is the entity I'm going to set up this is the name that I'm going to use for it I know that name is available give me the ein which is the social security number for the business for that particular name no and that just makes the process a little bit smoother in terms of setting it up so we're gonna start with this name reservation and we'll get this set up and we're gonna do is go through here first it's going to ask us the type of business the vast majority of businesses like yours jesse people that are going from starting a side household of turning into a business just starting out are gonna go with LLC and we're just going to assume today that people know they want to know I'll see but if you're not sure which one's best for you talk to your accountant your lawyer somebody else who can give you advice on maybe which one would fit here and there's a domestic or foreign your domestic because you live in Louisiana if we were a business in Mississippi you wanted to do business here in Louisiana that's what a for an LLC would be so we're gonna start with domestic today and then we're gonna do here is Jesse you mentioned Gulf Coast hurricane updates LLC correct yeah that's it yeah so we'll put that in and then we'll put Jesse's name in here and then we'll also fill this out with his contact info on just some very basic contact info and we're gonna protect Jesse's personal email and we're just gonna do this for now and we're gonna use the address we'll use the law firms address for now just to plug this in of course when you do this you're gonna want to use your own address and then I want to type my name in here is the organizer if you're doing this yourself you could just type in Jesse Ventura Ella and organizer but organizer is usually the title the person who's who's setting this up the organizer does not have to be the ultimate owner of the business that's going to be a member Jesse that's going to be what you are so click Next on that and it's going to ask us to review this information double check that it's all correct yes and then it's going to ask us to want to expedite this do we want this to go faster do we want this to happen in three business hours typically the Secretary of State will turn around the name reservation without this and usually 72 hours two to three days so unless you're in some sort of extreme rush that $50 just usually is not worth it because they're quick already so today we're gonna say no and we would check out and file and that would be it we would wait to get the confirmation email from the Louisiana Secretary of State Jesse any questions about that process no actually that that seemed pretty you know straightforward yeah no I really don't have any questions right now great so that's the that's the name reservation process and the next video will show how to convert a name reservation into an actual LLC

Thanks for your comment Lajuana Fulgham, have a nice day.

do you want to set up an llc in louisiana this year but are unsure where to begin today you will learn about the most common ways to start your business including the correct forms you'll need how to register your llc critical naming requirements and all other vital tips and tricks then as a bonus later on in the video i will reveal to you a trustworthy registered agent who will help set up your llc for free so make sure to stick with me until the end the state of louisiana like other states has several specific llc requirements there are three main ways you can start an llc in louisiana first is the diy or do-it-yourself process where you mostly depend on louisiana state's website the second way is hiring a professional service that practically offers more efficiency and security in the process of creating your llc while the third one is hiring an attorney we will skip the attorney hiring portion because that's expensive and most business owners won't need that service first let's take a look at the steps required for starting an llc on your own step one name your business before anything else you will have to think of the llc's legal business name each llc in louisiana must have a distinct llc name that is not currently in use you must include the terms limited liability company or an abbreviation such as llc you cannot include phrases such as a corporation which would lead people to believe you are a different business organization knowing if your business name is taken or not is very easy just go to google and type in the words business entity records louisiana secretary of state and click the first search result i also have the link in the description below for your convenience it will lead you to a landing page of business entity records in louisiana scroll down a little and you will see some search options which make checking the availability of your business name easier generally you can click the first option entity name and type in your business name for example i am typing a very common business name here laundromat which will give you a list of existing business names a unique business name will say no match is found just like this random name i typed in keep in mind that the division of revenue doesn't check names for trademark compliance it's ultimately up to you and your business attorney to ensure that your llc's name doesn't infringe on any other company's rights step two louisiana requires llc to have a registered agent an agent has a physical address a po box is not allowed and is available during business hours this agent will serve as the llc's primary point of contact for receiving key legal papers tax warnings summons subpoenas and so on you can register yourself or someone in your company but i highly recommend getting a professional registered agent as they have more knowledge by protecting your company in cases of possible cracks while i agree that family members or friends are reliable enough to be trusted as your llc's agent you are more comfortable sleeping at night knowing that your agent is professional and trained to manage legal documents to avoid problems concerning court schedules filing reports with the secretary of state etc besides hiring a professional registered agent is not expensive in fact there are companies that offer a free registered agent as part of your package when you form your llc through them inc file is a company i recommend which has this free service inc file offers a free registered agent on your first year of signing up for their service during that free year you can already take advantage of a professional and trained agent to receive legal documents on your behalf a dashboard where you can always access the correspondence that your agent has received as well as email notifications and automatic forwarding whenever your registered agent receives documents step 3 filing the louisiana llc certificate of formation after that you must file the certificate of formation with the louisiana secretary of state's business entities division and the office of the judge of probate to officially incorporate a domestic louisiana limited liability company the total louisiana state filing cost for llcs is one hundred dollars for domestic and 150 dollars for foreign llcs basically a domestic llc means that you are already a resident of louisiana and you want to build a business in louisiana foreign llc on the other hand is for people living outside louisiana but wanting to start a business or a franchise of their business in louisiana with that said most businesses would be applying for a domestic llc you can file the certificate of formation online or by mailing it to the secretary of state expect the llc certification process to take approximately two weeks step four prepare an operating agreement now an operating agreement is a good idea to have in place with the other members if your llc has more than one member although a limited liability company operating agreement is not necessary for louisiana your operating agreement should clarify how your company or business will handle big picture issues such as allocating earnings and losses and dissolving the company your operating agreement should also cover the transfer of membership interest profits or losses and distributions initial investments decision making powers voting rights and management and lastly dissolving the business step 5 of file annual reports all llcs doing business in louisiana must file an annual report with the secretary of state every year on or before the anniversary date of organizing or qualifying in louisiana the annual report must be filed online with the secretary of state step 6 obtain an ein an ein or employer identification number is a federal tax id issued by the irs your ein is used by them to readily identify your firm and tax filings all louisiana firms pay a business privilege tax and the state requires you to have an ein to file you may also be required to provide your ein when opening a bank account or applying for municipal permits or licenses obtaining an ein is a slightly longer process compared to their previous steps i'm sure you know anything to do with the irs is confusing first you have to have complete knowledge of your llc such as your company information managing member information business address business information company details and even critical information regarding vehicular assets and federal excise taxes this is another reason why getting a professional registered agent is way more convenient as they can do this for you as part of their service now let's talk about the second option to form an llc and that is hiring a professional formation service professional formation services do all the steps you should be doing on your own from filing necessary forms to acting as your registered agent you usually have to allocate a specific budget for this option as i already mentioned earlier inkfile is one of the best companies out there to help you form your llc you can click on the link in the description to get access to this deal inkfile is one of a kind as it offers a free package with
