hi I'm attorney Joel Beck of the Beck law firm LLC one of the questions we get from folks looking to start a corporation or an LLC in Georgia often is this what is a registered agent and what do they do that's a good question and we'll answer that in today's short video so the question is what is a registered agent and what do they do for a Georgia LLC or a Georgia corporation well here's what you need to know the law treats an organized corporation or LLC like it is a fictional being it is essentially a fictional person it can hold assets it can own property it can sue and be sued and enter into contracts and conduct business but unlike you or me as individuals there's not actually a person that official papers can be served to for that corporation or LLC and so what we have is the law says these types of entities need to have a registered agent all the registered agent is is a human being located in the state who will receive what we call service of process on behalf of the company on behalf of the LLC or of a corporation now service of process just means that if official paperwork if official correspondence or a summons or a lawsuit or anything like that has to be served on the company it will be delivered to the registered agent so the sheriff or the marshal will take the lawsuit and summons official mail would be sent to the registered agent that's what a registered agent does they get this stuff on behalf of the company and then get it to the managers the leaders of the company so that they can address the situation and deal with it now because we have to have a physical person we have to have the the registered agent has to be listed with a physical address and so that's why you'll see in the state filings when you're listing who the registered agent is you have to list a physical address where that person can be found not a p.o box or a private mailbox a place where when the sheriff goes that person is there and the papers can be served and so one of the issues we see from time to time is that somebody's starting a small business they're forming an LLC or a corporation maybe they're going to be working from home or from the road initially well they need a registered agent but they don't want their home address out on these public records and so what many of these folks will do is to have the attorney who helps them form their company be the registered agent or they can hire a registered agent company there's several of these around and what they actually do just like the attorney who would serve as a registered agent charges a small annual fee and then they receive any type of paperwork any service of process and get it to the owners of the company the the leadership of the company for them to deal with so that's what a registered agent for a corporation or an LLC is here in Georgia if you've got questions about forming a corporation or forming an LLC in Georgia I invite you to pick up the phone and give us a call let us talk for a few minutes and see if we can be of help you can reach us at six seven eight three four four five three four two or you can find more online at the Bek firm comm thanks
