the following information is provided for educational purposes only and in no way constitutes legal tax or financial advice for legal tax or financial advice specific to your business needs we encourage you to consult with a licensed attorney and/or CPA in your state the following information is copyright protected no part of this lesson may be redistributed copied modified or adapted without prior written consent of the author in this video we will discuss the registered office and the registered agent the registered office and the registered agent are required for your LLC formation documents once you figure out who your LLC's registered agent will be you will then be able to complete your LLC formation documents which we discuss in the next lesson again your LLC is required to list a registered office and a registered agent within your LLC formation documents the registered office is a physical address it cannot be a Pio box located in the state where your LLC is formed a registered agent is a person or a company who agrees to accept legal mail and important documents on behalf of your LLC the registered agent is located at the registered office and is generally available during normal business hours as we mentioned a registered agent can be a person or a company who has an address in the state where your LLC is formed you can serve as your LLC's registered agent however your LLC cannot serve as its own registered agent for individuals who have an address in the state it is common that they serve as the LLC's registered agent having said that the individual person you choose as a registered agent does not need to be a member of the LLC it can be a friend or a family member or frankly anyone you know who agrees to accept service of process on behalf of your LLC service of process is a delivery of legal mail and important documents sent from the state or a law firm to your LLC important documents from the state can include items such as certificates late notices and copies of formation documents legal documents can include items such as subpoenas and/or complaints for legal action the purpose of the registered agent and the registered office is to be a point of contact for the state and to accept service of process for your LLC you or someone you know can be your LLC's registered agent so long as you or they have an address in the state if you don't have an address in the state that you can use or you don't want to serve as your LLC's registered agent you should hire a commercial registered agent a commercial registered agent will receive service of process on behalf of your LLC and then forward it to you at any address you like many commercial registered agents will also fax or email service of process if you prefer again a commercial registered agent is a company that specializes in receiving service of process on behalf of businesses nationwide they typically charge between 100 and 300 dollars per year if you decide to use a commercial registered agent we recommend a company called Northwest registered agent they've been in the business for more than two decades and they have a solid reputation their fees are among the most affordable and their support is top-notch we've joined forces with them in order to provide registered agent services nationwide to our clients there's information below this video where you can find instructions on how to sign up for their services if you or someone you know will serve as your LLC's registered agent you can then proceed to the next lesson if you need to hire a commercial registered agent please see the information below this video once you've signed up with Northwest registered agent you will then receive their address - using your LLC formation documents if you have any questions about their services you will also find their phone number below this video again once you sign up for their services and obtain their address you can then proceed to the next lesson and that concludes this video

hi I'm attorney Joel Beck of the Beck law firm LLC one of the questions we get from folks looking to start a corporation or an LLC in Georgia often is this what is a registered agent and what do they do that's a good question and we'll answer that in today's short video so the question is what is a registered agent and what do they do for a Georgia LLC or a Georgia corporation well here's what you need to know the law treats an organized corporation or LLC like it is a fictional being it is essentially a fictional person it can hold assets it can own property it can sue and be sued and enter into contracts and conduct business but unlike you or me as individuals there's not actually a person that official papers can be served to for that corporation or LLC and so what we have is the law says these types of entities need to have a registered agent all the registered agent is is a human being located in the state who will receive what we call service of process on behalf of the company on behalf of the LLC or of a corporation now service of process just means that if official paperwork if official correspondence or a summons or a lawsuit or anything like that has to be served on the company it will be delivered to the registered agent so the sheriff or the marshal will take the lawsuit and summons official mail would be sent to the registered agent that's what a registered agent does they get this stuff on behalf of the company and then get it to the managers the leaders of the company so that they can address the situation and deal with it now because we have to have a physical person we have to have the the registered agent has to be listed with a physical address and so that's why you'll see in the state filings when you're listing who the registered agent is you have to list a physical address where that person can be found not a p.o box or a private mailbox a place where when the sheriff goes that person is there and the papers can be served and so one of the issues we see from time to time is that somebody's starting a small business they're forming an LLC or a corporation maybe they're going to be working from home or from the road initially well they need a registered agent but they don't want their home address out on these public records and so what many of these folks will do is to have the attorney who helps them form their company be the registered agent or they can hire a registered agent company there's several of these around and what they actually do just like the attorney who would serve as a registered agent charges a small annual fee and then they receive any type of paperwork any service of process and get it to the owners of the company the the leadership of the company for them to deal with so that's what a registered agent for a corporation or an LLC is here in Georgia if you've got questions about forming a corporation or forming an LLC in Georgia I invite you to pick up the phone and give us a call let us talk for a few minutes and see if we can be of help you can reach us at six seven eight three four four five three four two or you can find more online at the Bek firm comm thanks
