Where can i get my LLC certificate maryland

Comment by Margaret Schmatz

so hey you guys it's seiko kayori the manifesting goddess and today i'm going to be showing you how to get an llc in maryland so if you're interested in this video stay tuned so first we're going to start by going to a google search engine and we're going to type in maryland sos and it doesn't matter what stage you're in you're going to want to always look for your secretary of state you also want to make sure that your website has.gov in it there's a lot of for-profit websites who are charging people to register for their llcs and they're not good or bad but you just want to make sure that you go to your secretary of state just that way everything is safe and solidified so now you're going to create an account you're going to hit log out scroll down to create account and this part is pretty much self-explanatory we're going to start by putting our first middle and last name then you're going to put your phone number followed by your email address i use my personal email address but you can also use a business email address if that helps you stay more organized i just check my personal one more often so it's really up to you so now we can create our username and password and then they're going to ask you what maryland business express user best describes you and i put business owner because i am the only owner of my business you can also click the drop down box below to see what other options they have because everybody's business will be different and once you hit create account it's going to take you to this account summary page and you just need to double check and make sure that your email address is correct your home address your phone number and all the other stuff so now you're going to hit my account press the start a new filing button then the new business filings and then you're going to register a business so once that page comes up they're going to give you a list of maryland business types they also have information buttons next to each one so you can see what best fits for you i just went ahead and clicked the maryland limited liability company and that is the third one from the top and that's going to bring you to the filing options page and the two options are online forms or to upload your own forms i just did online forms because i don't know what documents are telling me to upload in the first place so just make it easy on yourself so now you're going to click save changes and you're going to scroll down now this is the actual fun part so if you're watching my videos on how to get an llc then nine times out of ten you already have a business name or you could just like watching my videos and listening to my voice and either way i'm fine with that so we're gonna type in your business name and we're gonna see if anybody else has it for example my business name is celestia skin llc and make sure you don't put the loc in it because as you can see an error message will pop up and tell you that you have to change it you cannot use that name so now i'm going to change it to my first business and we're going to see if that lets us go in okay so we were able to get through to the next page which means that llc business name is not taken so next we're going to put in your business location um some people may have an office some people may have a warehouse or you may be like me and you may just work from your home so now you're going to go ahead and type in your address that your business is going to be located and yes it can be your house so once you scroll down on that page it's going to ask you for your business license and you can also click the little i on the side to bring up more information i don't really need a business license because i'm not selling real estate i'm not a lawyer or attorney or a doctor or anything like that but again everyone's business is different so click what applies to you i'm going to click no and then hit continue so now they're going to ask you who your resident agent is and that's just the person who's going to be receiving your paperwork doing your paperwork and handling all the ins and outs again i am the sole proprietor of my business so it's going to be me this could be your mom or your dad if you're under 18 your spouse your lawyer it all depends on you and what you want so now you just want to check over all of your information just make sure your name is right phone number email address and your regular address that way you don't have to go back and do it again hit save and continue and now this is going to be your contact information so this alternate contact information part i truly believe is for your lawyer i just put my information again but that is up to you now this is the only part that i am not sure about you can either put your lawyer or yourself and i don't have a lawyer i have myself so that is who i put so of course i'm just double checking everything and making sure that it's correct then i'm going to hit continue now this is just a summary page of everything that we just typed you need to look at this page three to four maybe even five times because once you pay and if there's anything wrong you will have to do this whole thing over and pay more money i'm not sure how much more money but let's just not find out so you guys remember when i said that my business name was my first business so let's say that i wanted to change first and actually spell it out from one st to f-i-r-s-t you're gonna hit this little edit button on the right and that way you can go ahead and take care of all of that most importantly is to make sure that your business name is correct you cannot go back once you have paid just make sure it's right y'all don't take nothing but a few seconds so now you're going to click the proceed to certification button and then that's going to take you to your authorized personnel your resident agent and your filing party the authorized personnel is going to be you you are the one that's examining this application and you're following it to the best of your knowledge and as truthful as possible your resident agent should already be filled out but just make sure that that information is correct and then you also want to check the little box telling them that you are the resident agent and the name that's listed above now you can go ahead and do your filing party and again i just put myself to each his own choose what works best for your business so just double check everything and make sure that it's correct and then once you do go ahead and hit certify and proceed now this is going to ask you if you want to do any other filing options before you pay such as trademarks i will be making a trademark video separate from this one because i did not want to overwhelm you guys so stay tuned for that so if you don't want to add any other filing options go ahead and hit proceed to payment so every state will be different when it comes to how much it costs some states may be 75 some states may be a hundred solid i do remember it being about 190 i think after this whole process they charge me like extra 40 in government taxes and fees so if you want to get your llc i would

how to start an LLC in Maryland today you will learn about the most common ways to start your business including the correct forms you'll need how to register your LLC critical naming requirements and all other vital tips and tricks then as a bonus later on in the video I will reveal to you a trustworthy registered agent who will help set up your LLC for free so make sure to stick with me until the end the state of Maryland like other states has several specific LLC requirements there are three main ways you can start an LLC in Maryland first is the DIY or do-it-yourself process where you mostly depend on Maryland State's website the second way is hiring a professional service that practically offers more efficiency and Security in the process of creating your LLC while the third one is hiring an attorney we will skip the attorney hiring portion because that's expensive and most business owners won't need that service first let's take a look at the steps required for starting an LLC on your own step one name your business before anything else you will have to think of the llc's legal business name each LLC in Maryland must have a distinct LLC name that is not currently in use you must include the terms limited liability company or an abbreviation such as LLC you cannot include phrases such as a corporation which would lead people to believe you are a different business organization knowing if your business name is taken or not is very easy just go to Google and type in the words business entity records Maryland Secretary of State and click the first search result I also have the link in the description below for your convenience it will lead you to a landing page of business entity records in Maryland scroll down a little and you will see some search options which make checking the availability of your business name easier generally you can click the first option entity name and type in your business name for example I am typing a very common business name here best dentist which will give you a list of existing business names a unique business name will say no match is found just like this random name I typed in keep in mind that the division of Revenue doesn't check names for trademark compliance it's ultimately up to you and your business attorney to ensure that your llc's name doesn't infringe on any other company's rights Step 2 Maryland requires LLC to have a registered agent an agent has a physical address a PO Box is not allowed and is available during business hours this agent will serve as the llc's primary point of contact for receiving key legal papers tax warnings summons subpoenas and so on you can register yourself or someone in your company but I highly recommend getting a professional registered agent as they have more knowledge by protecting your company in cases of possible cracks while I agree that family members or friends are reliable enough to be trusted as your llc's agent you are more comfortable sleeping at night knowing that your agent is professional and trained to manage legal documents to avoid problems concerning Court schedules filing reports with the Secretary of State Etc besides hiring a professional registered agent is not expensive in fact there are companies that offer a free registered agent as part of your package when you form your LLC through them Inc file is a company I recommend which has this free service Inc file offers a free registered agent on your first year of signing up for their service during that free year you can already take advantage of a professional and trained agent to receive legal documents on your behalf a dashboard where you can always access the correspondence that your agent has received as well as email notifications and automatic forwarding whenever your registered agent receives documents step 3 filing the Maryland LLC certificate of formation after that you must file the certificate of formation with the Maryland Secretary of State's business entities Division and the office of the judge of probate to officially incorporate a domestic Maryland limited liability company the Maryland state filing cost for llc's is one hundred dollars for both domestic LLCs and foreign LLCs basically a domestic LLC means that you are already a resident of Maryland and you want to build a business in Maryland foreign LLC on the other hand is for people living outside Maryland but wanting to start a business or a franchise of their business in Maryland with that said most businesses would be applying for a domestic LLC you can file the certificate of formation online or by mailing it to the Secretary of State expect the LLC certification process to take approximately two weeks this is three to four days for the judge of probate and 10 days for the Secretary of State step 4 prepare an operating agreement now an operating agreement is a good idea to have in place with the other members if your LLC has more than one member although a limited liability company operating agreement is not necessary for Maryland your operating agreement should clarify how your company or business will handle big picture issues such as allocating earnings and losses and dissolving the company your operating agreement should also cover the transfer of membership interest profits or losses and distributions initial Investments decision-making Powers voting rights and management and lastly dissolving the business step 5 of file annual reports all llc's doing business in Maryland must file an annual report and personal tax return with the Maryland Department of Assessments and Taxation personal property division the report and return may be filed electronically through Maryland business Express MB or by mail it is due by April 15th each year you can also request an extension the annual filing fee is three hundred dollars the fee does not include any state tax liability of the LLC step 6 obtain an EIN an EIN or employer identification number is a federal tax ID issued by the IRS your EIN is used by them to readily identify your firm and tax filings all Maryland firms pay a business privilege tax and the state requires you to have an EIN to file you may also be required to provide your EIN when opening a bank account or applying for municipal permits or licenses first you have to have complete knowledge of your LLC such as your company information managing member information business address business information company details and even critical information regarding vehicular assets and federal excise taxes this is another reason why getting a professional registered agent is way more convenient as they can do this for you as part of their service now let's talk about the second option to form an LLC and that is hiring a professional formation service professional formation services do all the steps you should be doing on your own from filing necessary forms to acting as your registered agent you usually have to allocate a specific budget for this option as I already mentioned earlier Inc file is one of the best companies out there to help you form your LLC you can click on the link in the description to get acce
