hey what's up everybody welcome to NCO knowledge today we're going to show you how to file for a limited liability company in the state of Texas so let's get to it right this is the portal you're gonna want to go to to create an SOS Direct account we'll be putting the link in the comments section so if you want to know or you can't see that URL don't worry about it look at the comment section and you should be able to see that site there are you gonna request for an SOS Direct account it will ask for your email and then they will send you a email confirmation as well as a temporary password once you complete that you will then enter that information here and you will be prompted to change your temporary password to a permanent password and then it will ask you for some personal information it's going to ask for your name your address and a credit card to keep on file you won't be charged anything but it's part of the identification verification process and just know that if you do decide to go through with it you will be charged so whatever card you use make sure it is the card that you want to be charged for your business I can't show you this Porsche portion since I've already done it and it's a one-time process concept alright this is what the portal should look like once you get in here alright one of the first things you're gonna want to do is go to this name availability search okay it's charge they charge a dollar plus tax for every name search that you do but it's important that you do this because you don't want to file for your company and the name already exists all you're doing is prolonging the process so click here and search for your name if you find that your name is available you will come down here in this drop down portion and you will look for domestic liability company all right you will hit file document all right essentially what you're doing is you're filling out the form 205 in the state of Texas which is the certificate of formation limited liability and company you could Google this form so you should be able to look for it online and kind of see what they're gonna have for it's all pretty self-explanatory on there you will have to pay this three hundred dollar fee plus tax so once you complete this form online and hit submit usually within 48 hours to 72 they will send you your notification let you know that you are officially the owner of a limb liability company all right that's it that's how to file a limited liability company in the state of Texas make sure you look us up and see your websites you can email me at NCO websites at outlook comm if you need a website for your new business

who offer a free registered agent as part of your package when you form your llc through them inc file is a company i recommend which has this free service inc file offers a free registered agent on your first year of signing up for their service during that free year you can already take advantage of a professional and trained agent to receive legal documents on your behalf a dashboard where you can always access the correspondence that your agent has received as well as email notifications and automatic forwarding whenever your registered agent receives documents step 3 filing the new jersey llc certificate of formation after that you must file the certificate of formation with the new jersey secretary of state's business entities division and the office of the judge of probate to officially incorporate a domestic new jersey limited liability company the new jersey state filing cost for llcs is 125 dollars for both domestic llcs and foreign llcs what's the difference good question basically a domestic llc means that you are already a resident of new jersey and you want to build a business in new jersey foreign llc on the other hand is for people living outside new the process which reduces the secretary of state's filing time from 10 days to 3 days so if you're in a rush this extra fee may be worth it step 4 prepare an operating agreement now an operating agreement is a good idea to have in place with the other members if your llc has more than one member although a limited liability company operating agreement is not necessary for new jersey your operating agreement should clarify how your company or business will handle big picture issues such as allocating earnings and losses and dissolving the company your operating agreement should also cover the transfer of membership interest profits or losses and distributions initial investments decision-making powers voting rights and management and lastly dissolving the business step 5 obtain an ein an ein or employer identification number is a federal tax id issued by the irs your ein is used by them to readily identify your firm and tax filings all new jersey firms pay a business privilege tax and the state requires you to have an ein to file you may also be required to provide your ein when opening a bank account or applying for municipal permits or licenses obtaining an ein is a slightly longer process compared to their previous steps i'm sure you know anything to do with the irs is confusing first you have to have complete knowledge of your llc such as your company information managing member information business address business information company details and even critical information regarding vehicular assets and federal excise taxes this is another reason why getting a professional registered agent is way more convenient as they can do this for you as part of their service file annual reports new jersey llcs also have to file an annual report accompanied by a filing fee of 50. to seventy five dollars the report is due on the last day of the anniversary month of the businesses formation for example if you filed your certificate of formation on march 3rd your annual report would be due by march 31st of the successive year and each following year the annual report keeps your business's information such as your registered agent's name and
