hi everyone I'm attorney Aiden Kramer with the law office of Aiden Kramer in Colorado and you're watching all up in your business I've made a few videos recently talking about locations of LLC's and where you should form an LLC talking about Delaware Nevada Wyoming and how to choose the proper location to form your LLC and those videos brought up questions from you guys about certain types of businesses like e-commerce business or virtual businesses where you don't really have a location for your business and your clients are all over the place and a lot of you were wondering where do I form my LLC in this instance when I don't have an office or an actual physical location if you don't have a real physical location for your office or if you work all over the place you travel around a lot go to clients a lot or you just travel and work from different states then the first place to start is with your home state the state that you consider to be a residence of that's typically going to be the state where you want to form your LLC and this applies even if you have a home office just because you don't have an actual physical formal office in an office building but your office is in your home your home is still your office so that's where your business is physically located or if you travel around a lot for work but most of the administrative work is done at your home office or if your physical files are kept at your home office then that's your office and that's where your LLC is physically located if you truly have no home maybe you're just a nomad and you're constantly on the go living out of your car then I guess in that instance you can really just pick a state whatever state works best for you whether the Delaware Wyoming the state that you were recently in whichever one you prefer that would be fine you would still for most states need a physical location address though so you would need to get either like a virtual office setup or maybe a p.o box a mailbox something like that so you have an address but for most virtual or e-commerce businesses you're gonna have some base somewhere somewhere that you go back to and do a good deal of your work whether it's your home or a coffee shop down the road if that's where you do most to your business and that's the state that your business is in that doesn't mean that your business is located at the coffee shop down the road but in that state is where you get most of your business done and so forming the LLC in that state would be appropriate and you would use either your home address or a mailbox or post office address something like that so you have a location registered with the state and in any of those instances if you really do travel around a hundred percent of the time and you pick a random state to form the LLC in make sure that with whatever option you go with you will need a registered agent in that state that you form in so if you travel around all the time but you form your LLC and Delaware Delaware is gonna require that you have a registered agent who's physically located in Delaware so you would need to find a registered agent service or someone that offers registered agent services in Delaware to use them as your registered agent so the easiest way to put it is if you don't have a physical location for your business start with your home start with wherever you live the state that you live in that's often the best place to begin if you are starting a business in Colorado and would like some assistance figuring out if you need to form in Colorado or somewhere else feel free to contact me my contact info is right here be sure to subscribe to my channel so you don't miss the next dramatic episode of all up in your business and thank you all so much for watching I'm Aiden Kramer and I'll see you next time

in order to form your LLC you must file LLC formation documents and pay a filing fee to your state LLC formation documents are the state specific forms that officially create your LLC these documents are often referred to as articles of organization certificate of organization or certificate of formation some states also require additional documents in order to create your LLC before preparing your LLC Probation documents you need to have two things completed first you'll need to have chosen a name for your LLC your desired LLC name cannot be in use by an already existing company you can determine your names availability by checking your state's name database second make sure that you've chosen a registered agent for your LLC or that you've hired a commercial registered agent your LLC formation documents will contain your LLC's name your office address your effective date and your registered agent information many states also require additional information to be filed with your LLC formation documents since the LLC formation documents are state specific we needed to create 50 individual lessons that walk through how to file them step-by-step for each state these video lessons are available inside the LLC formation course and customized to the requirements of your state generally there are two ways you can file your LLC formation documents with your state you can send your LLC information documents by mail or you can fill out your LLC formation documents online and submit them electronically the state will charge a one-time fee in order to form your LLC there are no monthly fees to form an LLC these fees vary by state and you can find them listed either below this video or on our website if you send your LLC formation documents by mail you'll pay a state filing fee with a check or money order if you fill out your LLC formation documents online and submit them electronically you'll pay your state filing fee with a debit or credit card once you submit your LLC formation documents along with the filing fee the state will review and process your documents if there are any issues with your filing the state will notify you and then tell you what Corrections need to be made if you filed by mail and there are no issues on average your LLC will be approved in one to two weeks if you filed online and there are no issues again on average your LLC will be approved in under one week depending on your state you'll receive back a stamped and approved copy of your LLC formation documents which confirms your LLC is now a legally formed business in the state on your requirements once your LLC is formed paperwork with the state is not over as a part of the ongoing requirements for your LLC most states require that you file an annual report or similar document and pay a recurring fee usually once per year also you'll be required to file state taxes every year you can find detailed lessons on these items on our website so you may be asking where do I get the LLC formation documents you have a few options you can pay an attorney 200 to $500 per hour try Martindale comm or lawyers com you can pay a website to get the forms like Legal Zoom calm or corpnet calm you can download them from your state's website there are too many links to mention here or you can get the forms from us and fill them out with a step-by-step video one important thing to know make sure that you also get an operating agreement and your federal tax ID number no matter what option you choose these are not available on state websites also if you want to download the forms from your state the links are available on our website
