today we're going to talk about how to choose your LLC name and top ten factors you should considerhey guys this is Sam ally II as a business lawyer for entrepreneurs I help entrepreneurs start and grow their business in today's video we're going to talk about how to choose the correct LLC name so here are some important factors to consider in choosing your LLC name first thing is you want to make sure that it's simple and easy to spell this is probably the most important there's a lot of times that I get from my clients very complicated names these are either words that are very long or words that are very they're kind of like foreign and not easy to spell when you look at a name you want to make sure that it's easily you could distinguish it and you'd be able to easily spell it out so that's the first thing that you want to consider second is you always want to choose the most shorter name and the reason why is will be a lot easier to remember if you have a name that's possibly two or three or four words then it just becomes too long and it becomes kind of harder for you to be for your clients and customers to distinguish you from your familiar competitors so you always want to make sure that the LLC name is short third you want to make sure the name is distinguishable by checking the name with your state secretary of state with your state secretary of state website so if you just say if you're gonna be forming your LLC in California then you want to do a name search with a secretary of state in California so let's just say if you're just google cover for an LLC name search and here we here we have a business's serious right here so what you want to do is maybe an on this page but I'm definitely on this page and I'll try to leave the links of all these below so if we're gonna see if you you want to make sure if the name is available so let's just say we want to do power LLC and I do a search for that as you can see there's a lot of similar names there that are related to power so that one definitely won't be but let's just say it's super power super power so we're gonna talk about how we did signatures with their super powerhouse LLC is okay and but there's let's just say if you have superpower apartments LLC is that is that different from house in this case it is but the the video we'll talk about how to distinguish how we can what's considered this thing stability okay what's up we got to that for is you want to make sure that I make sure to Google the name so a lot of times my clients before you form the LLC you want to make sure to Google the name make sure that there's no other business that's using it so let's just say we're looking to start acupuncture so we're gonna call it this is a power acupuncture LLC and looks like there's no other business name that acupuncture business has that name so that'll be fine but if you do see start seeing some other businesses with the same name especially in the same geographical every area then definitely you want to stay rate from that okay so definitely always make sure to Google the name before you choose a LLC name number five make sure the LLC name ends with LLC there's different variations of this you could either use LLC or L period L period C period or you could call a limited liability company but you usually by default just just keep it very simple just keep it just say whatever the company name is with LLC at the end number six LLC name cannot imply that it's a corporation so an LLC name cannot say Corp or Inc anywhere in the name so make sure I say as long as I get that as if somebody wants to register it I'll see if they give me the name it basically says Bob's Builder incorporate LLC that is not okay you have to take off the incorporated and just call it Bob's Builder LLC number seven and this is the where we get to distinguish UT and how we could tell the name is Wilbur not grammatical differences such as singular or plural possessive forms don't make the name unique so to just say you theirs does a name that's already taken by the name of Bob builder's cook so can you do Bob builder no you cannot so the fact that is singular plural and it's different that way does not make it the signature so if somebody if the competitor already has somebody has a name that's either in the singular or plural form are you trying to get the other type that is not considered enough to be different possessive is in the form of the to say its I take a posture PS or I TS so any kind of a different possessive forms also do not make it distinguishable number 8 differences in articles such as a and are done don't create the symbols really so to the same and let's go back to our Bob builders example so if we took a if there's our dear name that says a Bob builders and now we're trying to form a company says the Bob builders LLC that is we cannot do that we have to just a and and or duh don't make it a single show so be mindful of that number nine names that are too similar or deceptively similar do not create the symbol usually so let me give you a quick example for example a a quickly service LLC horses a a quick service LLC so the only difference between AA was quickly and quick that's too similar and it's too deceptively similar so the secretary will have an issue with this so you always want to make sure to do the check with the Secretary of State website and make sure that your name is not too similar to something that it could be too deceptively similar with another name and number 10 choose a name unique name that makes you stand out it's very important always choose a unique name so if there's ever any issues with possibly a name being to so much as somebody else it's always better to be a little bit more conservative and choose a different name and I know this one probably there's so many business names out there it could be hard it just takes a lot of a couple of work just some work to be able to find that good at all cname and again go back to and find these 10 requirements and make sure it checks off all these that I think 10 factors in order for you to choose the correct LLC name if you have any questions go ahead and welcome back today we're going to talk about the different types of LLC's we'll address just a few in this video I'm mark Lida from the light a law firm let's get started LLC's can be used for all different types of purposes and can be set up in many different ways the first type of distinction between different LLC's is whether your LLC is a single member LLC alright multi-member LLC that's pretty self-explanatory a member is considered an owner of the LLC so a single-member LLC simply means that there's one owner of the LLC and a multi-member LLC means that like a partnership there are multiple owners LLC's can be owned by individuals or by other LLC's so if you have multiple LLC's owning a single LLC that would be considered a multi-member LLC another distinction between different types of LLC's is member managed versus manager managed this too is fairly self-explanatory but when you're registering your LLC you'll probably be asked to declare whether your LLC is a member managed LLC or a manager managed LLC all that means is that a member managed LLC is where the actual member of the LLC and owner of the LLC is actually running the show and managing the operations of that LLC where as a manager manage two LLC is a type of situation where maybe one person owns the LLC but they delegate the task of actually managing that LLC to another person who is a non-member that would be a manager managed LLC another big distinction you see among LLC's are holding or umbrella LLC's versus actual operating LLC's this isn't just an LLC concept it's a company concept in general there are companies that exist only to hold assets like real estate or to act as an umbrella holding company for other companies subsidiary companies those are considered holding companies and then on the other hand you have actual operating LLC's so that's another distinction you see holding LLC's versus operating LLC's the reason that holding companies exists is to create additional layers of protection from liability so these are just a few different types of LLC's there are more and there are different ways that you can use LLC's but these are some of the major distinctions that you see you have single member LLC's versus multi member LLC's you have member managed LLC's and manager managed LLC's you have Holding Company LLC's and operating LLC's but they're all LLC's they're all the same type of basic legal structure and depending on your state you register them in the same way it's just you're choosing to do different things with each of those different types of LLC's so that is an overview of some basic types of LLC's and that's in the distinctions between them we go into a little more detail all about LLC's in this playlist thanks for watching and please remember to click like and subscribe to help keep legal education free for small business cars you
