top of the top y'all it's your boy show tapping in uh today i'm just gonna go through something real simple that everybody needs to know how to do i'm gonna simply show you guys how you can register and file your own llc online uh with the state that way there's only the 300 or 350 dollar i don't remember 350 uh filing fee that the state charges but you don't have to pay an additional 200 300 sometimes 500 dollars to other companies or other individuals may charge you just to set up your llc guys and i have five plus llc's i've operated several businesses and i have filed and opened up all of my own llc guys all right i did it online the same exact way i'm going to show y'all today so if you see i just come to google like i said we are going to sos direct which is the secretary of state so just come to google type in sos direct this first one that populates notice the website here um that's what you're going to go to so boom once you get on the site you are going to have to create a login guys all right so uh just enter the site and then you see my login information is already here but if you are new to this you're just going to go right here under the login credentials and click on request for sos direct account all right you're going to type in your business here and this is just going to be the business that you want to start all right we understand it's not already started so type the business name type your name all right then it's going to ask for your address all right well you know i'm not even going to type this information in all right just follow these steps guys all right it's really simple it literally walks you through step by step type in your address city state zip uh your phone number and your email and make sure this is good information guys because if you file for llc this is where they're going to send your filings all right they're going to send the confirmation to your email they're going to send the paperwork to your house so make sure these are valid addresses uh and information that you're putting in here all right next you're going to create your password which is going to be obviously the password for your login credentials all right and once you submit this they're going to email this information to you as far as your login information it can take an hour it can take two hours three hours totally just depends on the site so once you submit that just wait and continue to check your email uh because you won't be able to go further until you get that done all right but once you get that done let's go to login see my information is already populated here just submit that all right and once you log in to the secretary of state every single time you log in guys it is going to require you to enter your credit card information all right doesn't matter what you're going on the site to do all right excuse me oh felt the sneeze coming all right it went away but every time you log on here guys you're going to have to enter your credit card information every single time so if you end up filing a llc the 300 or 350 charge is automatically gonna come from your credit card all right so you'll see after you get past this screen they're not going to ask you for any more credit card information they're going to take it up front so anything you do within this portal they can automatically charge you for all right now like i said if you're just logging in to get some information from an llc that you recently established things like that then you will not be charged but they will still take your credit card information all right if you're doing name availability searches i think those are like a dollar so it's a lot of different things you can do within a portal that they take your credit card information upfront so if you start to do any of those things they can charge you on the back end but you will know beforehand all right so let's keep it going then you see most of my information is already populated here i'll give my credit card information for them to have one already hoping ain't no scammers out there trying to get my little information man doing this for y'all all right so boom then hit continue all right boom so here we are right we are logged in onto the sos direct account login all right so first thing we're going to do is go to business organizations and remember we just simply learned how to set up an llc today there are lots of things you can do within the portal i'm only showing you guys how to establish an llc you can also do an assumed name um registered agent you can do a name availability search things like that uh filing number search so you can search for other people's business names all that kind of stuff but today we just worried about creating our own llc all right so we're gonna go right here on under web filings we're gonna go to domestic limited liability company remember you are within the state so it is domestic not foreign obviously click on file document and what fallon type we're getting a certificate of formation this is the first step in completing your llc once you file with the state they give you a certificate stating that you have formed this llc and that's what a bank is going to want if you get a loan credit card anything like that they're going to they're going to want to see this certificate of formation all right so you're going to again right here number one limited liability company the name of the company this is what you want it to be so i just type them boys llc uh do a name availability search right here on the spot to see if that name is available boom here are things that are similar but that exact name is not taken so i can do this all right now we're going to go back to return the fouling if you see your exact entity name here that means someone already has this name you need to go back to the drawboard but nobody has our name we're going to return the founder all right and then this tells you right here thank you for conducting a preliminary search preliminary a final determination of the availability of this name will be made by sos employee when the document is submitted for failing all right so it didn't pop up there but if it's something really close and sounds almost exactly the same they may deny you all right so be on the lookout for that but we're gonna continue all right next is asking you about a registered agent you must have a registered agent for llc and all a registered agent is is somebody who will receive and accept and open your mail all right you can be your own registered agent i am the registered agent for all of my llc's either me or my wife all right so my bad [ __ ] i'm not putting a business name i put my own name here as my own registered agent i'll put one two three main jane road as my address even though it is not that it's just made up all right and so the consent and out and make sure this is checked as well all right consent on file with entity that just means that you as the person who's creating this llc consent to have this person that you have listed here as your registered agent which like i said can be yourself then we're going to con

do you want to start an llc in texas this year today you will learn about the most common ways to start your business including the correct forms you'll need how to register your llc critical naming requirements and all other vital tips and tricks then as a bonus later on in the video i will reveal to you a trustworthy registered agent who will help set up your llc for free so make sure to stick with me until the end the state of texas like other states has several specific llc requirements there are three main ways you can start an llc in texas first is the diy or do-it-yourself process where you mostly depend on texas state's website the second way is hiring a professional service that practically offers more efficiency and security in the process of creating your llc while the third one is hiring an attorney we will skip the attorney hiring portion because that's expensive and most business owners won't need that service first let's take a look at the steps required for starting an llc on your own step one name your business before anything else you will have to think of the llc's legal business name each llc in texas must have a distinct llc name that is not currently in use you must include the terms limited liability company or an abbreviation such as llc you cannot include phrases such as a corporation which would lead people to believe you are a different business organization knowing if your business name is taken or not is very easy just go to google and type in the words business entity records texas secretary of state and click the first search result i also have the link in the description below for your convenience it will lead you to a landing page of business entity records in texas scroll down a little and you will see some search options which make checking the availability of your business name easier generally you can click the first option entity name and type in your business name for example i am typing a very common business name here laundry mart which will give you a list of existing business names a unique business name will say no matches found just like this random name i typed in keep in mind that the division of revenue doesn't check names for trademark compliance it's ultimately up to you and your business attorney to ensure that your llc's name doesn't infringe on any other company's rights step two texas requires llc to have a registered agent an agent has a physical address a po box is not allowed and is available during business hours this agent will serve as the llc's primary point of contact for receiving key legal papers tax warnings summons subpoenas and so on you can register yourself or someone in your company but i highly recommend getting a professional registered agent as they have more knowledge by protecting your company in cases of possible cracks while i agree that family members or friends are reliable enough to be trusted as your llc's agent you are more comfortable sleeping at night knowing that your agent is professional and trained to manage legal documents to avoid problems concerning court schedules filing reports with the secretary of state etc besides hiring a professional registered agent is not expensive in fact there are companies that offer a free registered agent as part of your package when you form your llc through them inc file is a company i recommend which has this free service inc file offers a free registered agent on your first year of signing up for their service during that free year you can already take advantage of a professional and trained agent to receive legal documents on your behalf a dashboard where you can always access the correspondence that your agent has received as well as email notifications and automatic forwarding whenever your registered agent receives documents step 3 filing the texas llc certificate of formation after that you must file the certificate of formation with the texas secretary of state's business entities division and the office of the judge of probate to officially incorporate a domestic texas limited liability company the texas state filing cost for llcs is two hundred dollars for domestic llcs and 750 dollars for foreign llcs basically a domestic llc means that you are already a resident of texas and you want to build a business in texas foreign llc on the other hand is for people living outside texas but wanting to start a business or a franchise of their business in texas with that said most businesses would be applying for a domestic llc you can file the certificate of formation online or by mailing it to the secretary of state expect the llc certification process to take approximately two weeks this is three to four days for the judge of probate and ten days for the secretary of state step four prepare an operating agreement now an operating agreement is a good idea to have in place with the other members if your llc has more than one member although a limited liability company operating agreement is not necessary for texas your operating agreement should clarify how your company or business will handle big picture issues such as allocating earnings and losses and dissolving the company your operating agreement should also cover the transfer of membership interest profits or losses and distributions initial investments decision making powers voting rights and management and lastly dissolving the business step five of file annual reports unlike most states texas does not require llcs to file annual reports with the secretary of state however llcs must file annual franchise tax reports the details for computing the tax can be complicated for more information check the comptroller of public accounts website and texas llc annual filing requirements step 6 obtain an ein an ein or employer identification number is a federal tax id issued by the irs your ein is used by them to readily identify your firm and tax filings all texas firms pay a business privilege tax and the state requires you to have an ein to file you may also be required to provide your ein when opening a bank account or applying for municipal permits or licenses obtaining an ein is a slightly longer process compared to their previous steps i'm sure you know anything to do with the irs is confusing first you have to have complete knowledge of your llc such as your company information managing member information business address business information company details and even critical information regarding vehicular assets and federal excise taxes this is another reason why getting a professional registered agent is way more convenient as they can do this for you as part of their service now let's talk about the second option to form an llc and that is hiring a professional formation service professional formation services do all the steps you should be doing on your own from filing necessary forms to acting as your registered agent you usually have to allocate a specific budget for this option as i already mentioned earlier inc file is one of the best companies out there to help you form your llc you can click on the link in the description to get access to this

Thanks marashif your participation is very much appreciated
